Market Research & Product Testing Services

These Service Terms & Conditions (“Terms”) govern the provision of services by AZIT Solutions LLC, a Wyoming limited liability company operating under the ASINUP brand (“ASINUP” or the “Service Provider”), to the business customer identified in the applicable Project Details (“Client”).

ASINUP provides its services exclusively on a business-to-business (“B2B”) basis. By accepting these Terms, the Client represents that it is acting for purposes relating to its trade, business, or professional activity and not as a consumer.

The person accepting these Terms on behalf of the Client represents that they have authority to bind the Client.

For purposes of these Terms, “Project Details” means the applicable quotation, order, invoice, payment page, project confirmation, or other written or electronic confirmation identifying the commercial or operational details of a specific project.

The Project Details and these Terms together form the agreement governing that project.

If there is a direct conflict between these Terms and the Project Details, the Project Details will control only with respect to the specific commercial or operational matter addressed in the Project Details. These Terms will otherwise continue to apply, unless the Project Details expressly state that a specific provision of these Terms is being overridden.

1. Scope of Services and Project Details

ASINUP provides market research, product testing, and related research services for products evaluated across different markets, e-commerce channels, and sales platforms.

The Project Details may specify, as applicable:

Unless otherwise agreed in the Project Details, ASINUP may determine the research methodology, testing process, participant selection, scheduling, and reasonable methods used to collect, consolidate, and analyze research results.

Any material change to an active project must be agreed in writing or electronically by both parties.

2. Participants and Product Testing

ASINUP may engage independent participants, product testers, contractors, logistics providers, or other service providers where reasonably necessary to perform the project.

Product testing is intended to obtain genuine product-use experience, information, and opinions for market research purposes.

Depending on the product, testing may reasonably involve opening, assembling, installing, setting up, operating, handling, using, evaluating, transporting, or otherwise testing the product.

Participants are not employees, agents, or representatives of the Client, and participation in a project does not by itself create a contractual relationship between a participant and the Client.

ASINUP independently manages participant arrangements and related operational processes.

3. Marketplace Platforms, Reviews, and Results

ASINUP provides market research and product testing services.

ASINUP does not sell or guarantee reviews, ratings, rankings, sales, marketplace placement, account status, or any other specific platform or commercial outcome.

A public review, rating, or other marketplace action by an independent participant is not a contractual deliverable unless expressly permitted by applicable law and platform rules and expressly stated in the Project Details.

ASINUP does not guarantee that any participant will publish, remove, modify, or maintain any review, rating, or other marketplace content.

The Client remains responsible for:

ASINUP is not responsible for decisions or actions independently taken by Amazon or any other marketplace, e-commerce platform, payment provider, or third-party platform concerning the Client, its account, its product, or its business, including restrictions, suspensions, removals, ranking changes, or similar actions.

ASINUP does not guarantee any specific commercial result arising from the Services.

4. Participant Availability and Project Timeline

The required or target number of participants or tests, if applicable, will be stated in the Project Details.

Project speed may depend on factors including:

Unless expressly stated in the Project Details as a binding deadline, any timeline provided by ASINUP is an estimate only.

ASINUP may reasonably extend an estimated timeline where additional time is required because of participant availability, shipping, product availability, third-party delays, or circumstances outside ASINUP’s reasonable control.

5. Pricing, Payment, and Project Commencement

Fees and project costs will be stated in the applicable Project Details.

Unless otherwise agreed in writing:

“Project Commencement” occurs when, after payment has been received, ASINUP begins project-specific work or incurs project-specific commitments, including research preparation, participant coordination, product arrangements, logistics, scheduling, procurement, or other operational work.

Depending on the project, the total project price may include:

Amounts paid to ASINUP are payments for the agreed project and services. They are not held as escrow, a client deposit account, fiduciary funds, or a client wallet.

Any material additional cost not already included in the agreed project price requires the Client’s approval before being charged.

Payment may be made using the payment methods offered or agreed for the applicable project. These Terms do not guarantee the continued availability of any particular payment method.

Taxes, duties, withholding obligations, government charges, or similar amounts will be handled in accordance with applicable law and, where applicable, reflected in the relevant invoice or Project Details.

6. Cancellation, Refunds, and Failure to Perform

Subject to applicable mandatory law, once Project Commencement has occurred, payments are final and the Client has no contractual right to cancel the project for convenience and receive a refund.

This reflects the fact that ASINUP may begin performing work, allocating resources, arranging participants, acquiring products, making logistical arrangements, and incurring third-party or non-recoverable costs after payment.

If the Client cancels, suspends, delays, or prevents completion of the project after Project Commencement, ASINUP is not required to refund amounts attributable to:

ASINUP may, at its discretion, offer a project credit, replacement service, partial refund, or other commercial accommodation. A voluntary accommodation does not create a continuing contractual entitlement.

If ASINUP materially fails to perform the agreed Services for reasons within ASINUP’s reasonable control and does not reasonably cure the failure, the Client’s remedies will be determined in accordance with these Terms, the applicable Project Details, and applicable law. Where legally required or commercially appropriate, this may include a refund or credit relating to the unperformed portion of the Services.

Nothing in this Section limits any right or remedy that cannot lawfully be excluded.

7. Service Options — Standard and Premium

The specific service option selected for a project will be identified in the Project Details.

Standard

Under a Standard project, ASINUP has no obligation to return the tested product to the Client after testing unless the Project Details expressly state otherwise.

Premium

A Premium project may include product-return arrangements where expressly stated in the Project Details.

The Project Details will determine any applicable:

The Client acknowledges that products used in genuine Product Testing are handled and used.

Accordingly, ASINUP does not guarantee that a returned product will:

Products may be exposed to ordinary risks associated with testing, handling, use, storage, and transportation, including wear, damage, breakage, loss, theft, or shipping damage.

ASINUP does not act as an insurer of Client products.

Subject to Section 12 and applicable mandatory law, ASINUP is not responsible for acts, omissions, or errors of independent carriers, warehouses, participants, or other third parties outside ASINUP’s reasonable control.

8. Deliverables and Research Results

The applicable deliverables will be identified in the Project Details.

Unless otherwise stated in the Project Details, ASINUP’s standard project deliverable is:

Individual participants are not required to provide separate reports directly to the Client unless expressly agreed.

Participant feedback reflects individual experience and may be positive, negative, mixed, inconsistent, or inconclusive.

ASINUP is not required to alter, suppress, or remove legitimate research findings merely because they do not meet the Client’s expectations.

9. Client and Product Responsibilities

The Client must provide accurate and reasonably sufficient information concerning the product and the project.

Where applicable, the Client represents and warrants that:

The Client remains responsible for legal and regulatory obligations applicable to it as manufacturer, importer, brand owner, seller, distributor, or other responsible economic operator, including matters relating to:

ASINUP may refuse or suspend work involving a product that it reasonably considers unlawful, unsafe, misleading, prohibited, or otherwise unsuitable for testing.

10. Confidentiality and Participant Privacy

Each party will use reasonable care to protect confidential non-public business information received from the other party in connection with a project.

Confidential information may be used only for purposes reasonably related to the project unless:

The Client has no automatic right to receive participants’ personal information.

ASINUP may provide anonymized, aggregated, redacted, or otherwise appropriate research information without revealing participant identities.

Unless an appropriate legal basis and project-specific reason exist, ASINUP is not required to disclose participant:

The Client may not attempt to identify, trace, or directly contact participants using information supplied by ASINUP unless expressly authorized or otherwise lawfully permitted.

Each party remains responsible for its own compliance with applicable data-protection and privacy laws.

This Section does not replace or amend ASINUP’s separate Privacy Policy.

11. Intellectual Property and Use of Research Results

Once all amounts due for the project have been paid, the Client may use the final report and research results for its internal business purposes.

The Client may share those materials internally or with employees, professional advisers, consultants, service providers, or business partners who reasonably require access for the Client’s business purposes.

ASINUP retains all rights in its pre-existing and independently developed:

The Client may not resell an ASINUP report as a standalone research service or represent ASINUP’s proprietary methodologies or systems as the Client’s own.

The Client grants ASINUP a non-exclusive, limited right to use product information, product images, listings, instructions, and other Client-provided materials only to the extent reasonably necessary to perform the project.

12. Limitation of Liability and Indemnification

To the fullest extent permitted by applicable law, ASINUP will not be liable for indirect, incidental, consequential, special, exemplary, or similar damages arising out of or relating to a project, including loss of:

ASINUP is not responsible for acts, omissions, decisions, or failures of third parties outside its reasonable control, including:

Subject to the exclusions below, ASINUP’s total aggregate liability arising out of or relating to a particular project will not exceed the Service Fees actually paid to ASINUP for the project giving rise to the claim.

For purposes of that cap, product value, shipping costs, taxes, government charges, and third-party costs are not Service Fees.

Nothing in these Terms excludes or limits liability for:

To the extent required by applicable law, any limitation relating to gross negligence or similar serious misconduct will apply only to the extent legally permissible.

The Client will indemnify and hold ASINUP harmless from third-party claims, losses, liabilities, and reasonable costs to the extent arising directly from:

ASINUP will provide reasonable notice of any indemnified third-party claim where practicable and will not unreasonably interfere with a lawful defense of that claim.

13. Suspension, Termination, and Events Outside ASINUP’s Control

ASINUP may refuse, suspend, or terminate a project where:

Where suspension or termination results from the Client’s act, omission, breach, or failure to cooperate, the Client is not entitled to a refund of amounts attributable to Services performed or costs and commitments already incurred.

ASINUP will not be responsible for delay or failure to perform to the extent caused by circumstances outside its reasonable control, including:

ASINUP will also not be responsible for delays or interruptions caused by payment processors, banks, financial institutions, digital-asset networks, or other financial service providers where those circumstances are outside ASINUP’s reasonable control, including:

Where reasonably necessary, ASINUP may extend the project timeline or adjust the project schedule because of such circumstances.

14. Electronic Acceptance and Records

The Agreement may be entered into entirely electronically and does not require a handwritten signature or separately signed PDF unless the parties expressly agree otherwise.

The Client may accept these Terms through an affirmative electronic action, including checking an acceptance box before completing payment or otherwise electronically confirming acceptance.

ASINUP will make the applicable version of these Terms reasonably available to the Client before electronic acceptance.

ASINUP may retain electronic records relating to acceptance, including:

Electronic records may be retained in a form capable of later reproduction.

15. Governing Law and Dispute Resolution

These Terms and each project governed by them will be governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles that would require application of another jurisdiction’s law.

To the fullest extent permitted by applicable law, the state and federal courts located in Wyoming will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the applicable project.

Nothing in this Section is intended to exclude the application of any mandatory law, jurisdictional rule, or non-waivable legal protection that applies regardless of the parties’ contractual choice of law or forum.

Before commencing formal proceedings, the parties will use reasonable commercial efforts to attempt to resolve the dispute through good-faith communication, unless urgent interim or protective relief is reasonably required.

16. General Terms

These Terms and the applicable Project Details constitute the entire agreement between ASINUP and the Client concerning the applicable project and supersede prior discussions or communications concerning the same project, except for any separate agreement expressly stated to survive.

A project-specific commercial or operational term in the Project Details will control over a directly conflicting provision of these Terms only for that specific project.

No material amendment to an active project is binding unless agreed in writing or electronically by both parties.

ASINUP may update these Terms prospectively for future projects.

A revised version of these Terms will not automatically modify an existing active project. An active project remains governed by the version accepted for that project unless the parties expressly agree otherwise.

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be limited or disregarded only to the extent required by applicable law, and the remaining provisions will remain in effect.

A party’s failure to enforce a provision on one occasion does not waive its right to enforce that provision later.

Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship, or agency relationship between ASINUP and the Client.
